These Terms & Conditions (“Terms”) govern your access to and use of the services, software, and websites (collectively, the “Services”) provided by Zentrix Business Automations (“we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.  

1. Acceptance of Terms

By using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference. 

2. Description of Services

Zentrix Business Automations provides technical support services and ERP (Enterprise Resource Planning) software solutions.

  • Technical Support Services: We offer technical assistance for software and system-related issues, including troubleshooting, guidance, and maintenance support. The scope and terms of our technical support services may vary depending on your service plan.
  • ERP Software Solutions: We provide access to our ERP software platform, which may include features for managing finances, operations, supply chain, customer relationship management, and other business functions. Your access to and use of the ERP software is subject to the terms of your subscription agreement.

3. User Accounts

  • To access certain features of our ERP software, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  • You agree to provide accurate, current, and complete information when creating your account and to update your information as necessary.  
  • We reserve the right to suspend or terminate your account if we believe that you have violated these Terms or that your account is being used for unauthorized or fraudulent activities.  

4. Use of Services

  • You agree to use our Services only for lawful purposes and in accordance with these Terms.
  • You shall not:
    • Use our Services in any way that violates applicable laws or regulations.  
    • Interfere with or disrupt the integrity or performance of our Services.
    • Attempt to gain unauthorized access to our Services or related systems or networks.  
    • Transmit any viruses, malware, or other harmful code.
    • Reproduce, duplicate, copy, sell, resell, or exploit any portion of our Services without our express written permission. 
    • Use our Services to infringe upon the intellectual property rights of others.
    • Reverse engineer, decompile, or disassemble any part of our software, except to the extent permitted by applicable law.

5. Intellectual Property

  • Our Services, including the ERP software, website design, text, graphics, logos, and other content, are protected by copyright, trademarks, and other intellectual property laws.
  • You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use our Services in accordance with these Terms and your subscription agreement (if applicable).  
  • You acknowledge that you do not acquire any ownership rights in our Services or any content therein.
  • Any feedback, suggestions, or ideas you provide to us regarding our Services may be used by us without any obligation to you.

6. Fees and Payments (Applicable to ERP Software Subscriptions)

  • If you subscribe to our ERP software, you agree to pay the fees as set forth in your subscription agreement.
  • All fees are non-refundable unless otherwise stated in your subscription agreement or required by applicable law.
  • We reserve the right to change our fees upon notice to you. Continued use of the Services after a fee change constitutes your acceptance of the new fees.
  • Payment terms and methods will be as specified in your subscription agreement.

7. Technical Support

  • The provision of technical support is subject to your service plan and our support policies, which may be updated from time to time.
  • We will use commercially reasonable efforts to provide timely and effective technical support. However, we do not guarantee that all issues can be resolved.
  • You agree to provide us with all necessary information and access to assist us in providing technical support.

8. Disclaimer of Warranties

  • OUR SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.  
  • WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.  
  • YOU ACKNOWLEDGE THAT YOUR USE OF OUR SERVICES IS AT YOUR SOLE RISK.  

9. Limitation of Liability

  • TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZENTRIX BUSINESS AUTOMATIONS, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES) ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) OUR SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.  
  • OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US (IF ANY) FOR THE SPECIFIC SERVICES GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.  
  • THE LIMITATIONS OF THIS SECTION SHALL APPLY EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.  

10. Indemnification

You agree to indemnify, defend, and hold harmless Zentrix Business Automations and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your breach of these Terms, your use of our Services, or your violation of any third-party rights. 

11. Termination

  • We may terminate or suspend your access to our Services at any time, with or without cause and without prior notice. 
  • You may terminate your ERP software subscription in accordance with the terms of your subscription agreement.
  • Upon termination, your right to access and use the Services will immediately cease.
  • Sections 5 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), and 10 (Indemnification) shall survive any termination of these Terms. 

12. Governing Law and Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of [Specify Governing Law – e.g., the Democratic Socialist Republic of Sri Lanka], without regard to its conflict of law principles.  
  • Any dispute arising out of or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the courts located in [Specify Jurisdiction – e.g., Colombo, Sri Lanka].  

13. Entire Agreement

These Terms, together with our Privacy Policy and any applicable subscription agreements, constitute the entire agreement between you and Zentrix Business Automations regarding your use of our Services and supersede all prior or contemporaneous communications and proposals, whether oral or written.  

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect. 

15. Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. 

16. Changes to these Terms

We may update these Terms from time to time. We will post any changes on this page and update the “Last Updated” date at the top. We encourage you to review these Terms periodically. Your continued use of our Services after any changes to these Terms constitutes your acceptance of the revised Terms.
